Member Terms & Conditions

By signing up for MOOHOO™ AI STUDIO, you become a registered member ("Member"). Founding Members are individuals who registered during the Founding Beta period and agreed to these terms.

• Founding Member Pricing Lock: Your subscription rate is permanently locked at the Founding Member rate you selected at signup. This rate will never increase, provided your membership remains active and in good standing.
• Access Rights: You receive access to all features included in your selected plan tier (Solo, Pro, Team, or Agency).
• Priority Support: Founding Members receive priority access to customer support and early notification of new features.
• Lifetime Benefits: Founding Member pricing and benefits apply for the lifetime of your account, even if pricing changes for new members.

As a Member, you agree to:

• Use the Platform only in compliance with all applicable laws and regulations.
• Maintain accurate and current account information.
• Pay all subscription fees in full and on time.
• Accept responsibility for all activity conducted under your account, including all content created, edited, and published.
• Review and approve all AI-generated content before publishing, as outlined in Section 5 of the General Terms of Service.
• Not share your login credentials with other individuals.
• Not resell, sublicense, or transfer access to the Platform to third parties.
• Comply with all third-party terms when using integrated services (e.g., social media platforms, email providers).

Your Content: You retain full ownership of all original content you create, including text, images, and other materials you upload or input to the Platform.

AI-Generated Content: Any content generated or suggested by MOOHOO™'s AI systems ("AI Content") is provided as a starting point for your review and editing. You become the owner of AI Content once you approve and publish it. You are solely responsible for:

• Reviewing all AI Content for accuracy, appropriateness, and legal compliance before use.
• Ensuring AI Content does not infringe third-party intellectual property rights.
• Verifying facts, figures, and claims in AI Content.
• Obtaining necessary permissions or licenses for any content referenced or incorporated.
• Compliance with platform terms of any third-party service where you publish content.
• All consequences arising from published content, whether or not it was AI-generated.

MOOHOO™ retains the right to use anonymised, aggregated data about your usage patterns to improve the Platform, but never shares your private content or identifies you in such analysis.

MOOHOO™ reserves the right to suspend, limit, or terminate your account if:

• You violate these Terms or the General Terms of Service.
• You publish content that is illegal, defamatory, harassing, or otherwise harmful.
• You use the Platform to infringe third-party rights or commit fraud.
• Payment for your subscription fails and is not resolved within 7 days of notice.
• You engage in abuse, harassment, or threatening behaviour toward MOOHOO™ staff or other members.
• We determine your account poses a legal, security, or operational risk.
• Your account appears to be engaged in automated scraping or system abuse.

Suspension may be temporary (giving you time to remedy the issue) or permanent. Termination is permanent and results in loss of access to the Platform. We will attempt to provide notice before suspension or termination, except in cases of emergency or repeated violations.

Subscription Renewal: Your subscription renews automatically on the same day each month or year, depending on your billing cycle. You authorise MOOHOO™ to charge your payment method on file.

• Charges appear as "MOOHOO AI STUDIO" on your statement.
• Failed payments may result in service suspension after 7 days of notice.
• You are responsible for keeping your payment information current.
• All pricing is in USD unless otherwise stated in your invoice.

Cancellation: You may cancel your subscription at any time by logging into your account or contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

Price Changes: We reserve the right to change pricing for new members. Founding Members' rates remain locked. If we change pricing for any other reason, we will notify you at least 30 days in advance.

Your use of the Platform is governed by our Privacy Policy. As a Member, you also agree that:

• We may collect and analyse your usage data to improve the Platform and tailor features to your needs.
• We use industry-standard encryption and security measures to protect your data.
• We will never sell your personal data or customer lists to third parties.
• You are responsible for maintaining backups of your content. MOOHOO™ is not liable for accidental data loss.
• Upon account termination, we retain the right to retain certain data as required by law for up to 90 days before permanent deletion.

MOOHOO™ provides the Platform on an "as is" and "as available" basis. We make no warranties, express or implied, regarding:

• Uninterrupted, error-free, or secure operation.
• The accuracy, completeness, or timeliness of any AI-generated content.
• Fitness of any content for your specific purpose.
• Compatibility with third-party platforms or services.

You use the Platform at your own risk. MOOHOO™ shall not be liable for any loss, damage, or harm arising from your use of the Platform or AI-generated content, including loss of revenue, business interruption, or reputational harm.

You agree to indemnify and hold harmless MOOHOO™ from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms or applicable laws.
• Content you create, edit, or publish using the Platform.
• Your infringement of any third-party right.
• Your use of the Platform in an unauthorised or unlawful manner.

If a dispute arises, both you and MOOHOO™ agree to:

1. First attempt to resolve the dispute in good faith through direct communication.
2. If unresolved within 30 days, either party may initiate formal legal proceedings in accordance with Section 18 of the General Terms of Service (Governing Law & Disputes).

Any disputes shall be governed by and construed in accordance with the laws of Australia.

We reserve the right to update or modify these Member Terms. We will notify you by email at least 14 days before material changes take effect. Your continued use of the Platform constitutes acceptance of the revised terms.
